These Terms of Service ("Terms") govern your access to and use of Sarleo Engineering's website, platforms, and engineering services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.
1. Service Terms & Engagement
Sarleo Engineering provides high-end software development, strategic consulting, and systems engineering. Every engagement is subject to a specific Statement of Work (SOW) which details deliverables, timelines, and technical specifications.
- Services are provided on a professional efforts basis as defined in individual contracts.
- Clients are responsible for providing timely feedback and access to necessary technical environments.
- Any deviations from the agreed-upon SOW require a formal change request and may impact costs.
2. Intellectual Property Rights
Ownership of work product is a cornerstone of our strategic partnerships. We maintain a clear distinction between Client Materials and Sarleo Core Components.
Client Ownership
Upon full payment, the Client owns the custom software specifically developed for them, excluding any Sarleo pre-existing IP.
Sarleo IP
We retain ownership of our proprietary methodologies, toolsets, and architectural patterns used to deliver the services.

Our intellectual property protections extend to the cryptographic standards we implement for our clients.

3. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SARLEO ENGINEERING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
4. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York County.
